Terms of Service
1. Acceptance of terms
By accessing or using the Baseline Metrics platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Baseline Metrics Pty Ltd (ABN pending), a company incorporated in New South Wales, Australia.
2. Description of service
Baseline Metrics provides AI-powered tennis match analysis software, including video processing, player tracking, biomechanics analysis, and performance reporting. The Service is provided to coaches, clubs, and sports organisations on a subscription basis.
3. Account registration
You must create an account to use the Service. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Baseline Metrics reserves the right to suspend or terminate accounts that violate these Terms.
4. Acceptable use
You agree not to:
- Upload video content you do not have the right to use or analyse
- Use the Service to process footage of individuals without their consent
- Attempt to reverse engineer, decompile, or extract the underlying models or algorithms
- Resell, sublicence, or otherwise commercially exploit the Service without written permission
- Upload content that is unlawful, harmful, or violates any third-party rights
- Use the Service in any way that could damage, disable, or impair it
5. Intellectual property
All software, models, algorithms, designs, and content comprising the Baseline Metrics platform are the intellectual property of Baseline Metrics Pty Ltd or its licensors. These Terms do not grant you any ownership rights in the Service.
You retain ownership of any video footage and match data you upload. By uploading content, you grant Baseline Metrics a limited, non-exclusive licence to process that content solely for the purpose of delivering the Service to you.
6. Data and privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.
7. Subscription and billing
Access to the Service requires a paid subscription. Pricing is available on our Pricing page. Subscriptions are billed in advance on a monthly or annual basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.
8. Service availability
We will use reasonable efforts to keep the Service available. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, upgrades, or events beyond our control.
9. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranty of any kind, express or implied. Baseline Metrics does not warrant that analysis results are accurate, complete, or suitable for any particular purpose. Performance metrics are estimates derived from computer vision models and should not be relied upon as a substitute for professional coaching judgement.
10. Limitation of liability
To the maximum extent permitted by law, Baseline Metrics Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability in any matter shall not exceed the amount you paid us in the three months preceding the claim.
11. Governing law
These Terms are governed by the laws of New South Wales, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
12. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
